Number of shares:  5,439,500 shares

Purchase price:  $3.70 per share

Number of placees:  29 placees

Agents' fees:  an aggregate of 5 per cent of the gross proceeds raised under the offering, payable to Cormark Securities Inc., Acumen Capital Finance Partners Ltd. and Laurentian Bank Securities Inc.
