Pursuant to special resolutions passed by the shareholders of Papuan Precious Metals Corp. on Sept. 15, 2014, the company plans to complete the plan of arrangement under Part 9, Division 5, of the Business Corporations Act (British Columbia). Court approval of the plan of arrangement was received on Sept. 19, 2014. The plan of arrangement will result in the issuance to the shareholders of the company as of the record date of one share of Pioneer Pacific Finance Corp. for every four shares of the company.

Further to the arrangement agreement dated July 16, 2014, between the company and Pioneer, the company assigned to Pioneer the letter agreement regarding the acquisition of a medical marijuana dispensary in Colorado.
