Insiders:  Graham Warren, 120,000; Leon Daniels, 320,000; Patrick Harford, 500,000

Agent's fee:  $3,500, plus 35,000 compensation warrants, each exercisable at a price of 10 cents for a period of two years into one common share and one warrant (each warrant exercisable into one common shares at the same terms as above), payable to Aberdeen Gould Capital Markets Inc.
