The TSX Venture Exchange has accepted for filing documentation relating to an asset purchase agreement dated Nov. 18, 2014, between an arm's-length party and ONEnergy Inc. Pursuant to the agreement, the company shall acquire substantially all the assets of 2289274 Ontario Ltd., operating as Avacos Clean Energy, which provides energy generation and energy efficiency products and services, and is based in Toronto, Ont.

In consideration, the company shall issue 10,966,000 multiple voting shares plus 15,425,262 subordinated voting shares to the vendor.
