ORCA ANNOUNCES A PRIVATE PLACEMENT OF UNITS

Orca Touchscreen Technologies Ltd. proposes to conduct a private placement of up to 20 million units of the company at a purchase price 44 cents per unit for proceeds of up $8.8-million to be used for general working capital purposes.

Each unit will comprise one common share and one-half of one warrant. Each whole warrant will be exercisable to purchase one additional common share of the company at an exercise price of 55 cents per share for a period of five years from the issuance date of such warrants.

The common shares and the warrants comprising the units shall be subject to a hold period of six months and one day from their date of issuance.

In connection with the private placement, the company intends to pay compensation to finders of up to 20 per cent of the units purchased by subscribers introduced by such finders.
