NYX GAMING GROUP ANNOUNCES EXERCISE OF OVER-ALLOTMENT OPTION IN FULL BY UNDERWRITERS

The underwriters of NYX Gaming Group Ltd.'s initial public offering and secondary offering of its shares have exercised in full their overallotment option to purchase an additional 1,286,000 shares of NYX Gaming Group at $3.50 from Verdane NVP II Associates SPV KS and Verdane NVP II SPV KS, bringing the aggregate transaction size to 14,144,000 shares or $49.5-million.

This brings the total number of common shares sold by the selling shareholders in the secondary offering to 8,429,000. NYX Gaming Group did not issue or sell any shares as part of the overallotment option, and will not receive any proceeds from the exercise of the overallotment option.

The previously announced offering was made through a syndicate of underwriters led by Canaccord Genuity Corp., and comprised Cormark Securities Inc., National Bank Financial Inc., Dundee Securities Ltd., Global Maxfin Capital Inc. and Mackie Research Capital Corp. McCarthy Tetrault LLP acted as Canadian counsel to NYX Gaming Group, and Stikeman Elliott LLP acted as Canadian counsel to the underwriters.
