NATCORE TECHNOLOGY CLOSES FINAL TRANCHE OF PRIVATE PLACEMENT

Natcore Technology Inc. has completed the final tranche of its proposed $600,000 non-brokered private placement, as announced on Jan. 15, 2015. The sale of a further approximately $41,000 through the sale of approximately 95,000 units was completed.

A total of approximately 1,352,062 were sold in the placement at a price of 43 cents per unit for total gross proceeds of $581,387.77. Each unit comprised one common share and one share purchase warrant. Each warrant entitles the holder to purchase of a further common share at 70 cents for a period of three years.

All securities issued in the final tranche of the placement are subject to a hold period in Canada expiring on May 24, 2015. Additional restrictions may apply pursuant to Rule 144 of the Securities Act of 1933, as amended, to U.S. investors. Proceeds of the placement will be applied further development of the company's technologies and general working capital.

Additional tranches of the placement are anticipated to be completed next week.
