NOKA RESOURCES PROCEEDS WITH DEBT SETTLEMENT TRANSACTION

Noka Resources Inc. has entered into debt settlement agreements with certain arm's-length third parties and an officer of the company, pursuant to which the company has agreed to issue an aggregate of 3,166,565 common shares at a deemed price of 10 cents per common share. The amount of indebtedness settled by the transaction is $316,656.57. The company determined to satisfy this outstanding indebtedness with shares in order to preserve its cash for operations.

The transaction is subject to TSX Venture Exchange approval. All shares issued pursuant to the transaction are subject to a four-month-and-one-day hold period.
