Purchase price:  Five cents per share

Warrants:  5,445,000 share purchase warrants to purchase 5,445,000 shares

Warrant exercise price:  10 cents for a one-year period

Number of placees:  70 placees

Total pro group involvement:  2.86 million (16 placees)

Finders' fees:  Haywood Securities, $3,450 cash and 37,500 units payable; Canaccord Genuity Corp., 15,000 units payable; PI Financial Corp., $4,200 cash payable (Each unit has the same terms as the offering.)
