The TSX Venture Exchange has accepted for filing the company's proposed issuance of 125,000 shares at a deemed price of 51 cents per share, in consideration of certain services provided to the company for the period ending May 1, 2015, pursuant to a management consulting agreement with David Racz, dated April 27, 2015.

The company shall issue a news release when the shares are issued.
