The TSX Venture Exchange has accepted for filing the documentation with respect to a non-brokered private placement.

Number of shares:  850,000 common shares

Purchase price:  30 cents per common share

Warrants:  850,000 warrants to purchase 850,000 common shares

Warrants exercise price:  40 cents per common share for a 12-month period following the closing date of the private placement

Number of placees:  one placee

The company confirmed the closing of that private placement pursuant to the news release dated Sept. 16, 2016.
