The TSX Venture Exchange has accepted for filing the documentation with respect to a non-brokered private placement.

Purchase price:  15 cents per common share

Warrants:  6,741,254 warrants to purchase 6,741,254 common shares

Warrants exercise price:  20 cents per common share for a 36-month period following the closing

Number of placees:  49 placees

Insider:  Richard Provencher, 100,000

Total pro group involvement:  170,000 (three placees)

Finders' fees:  EMD Financial Inc., Canaccord Genuity Corp. and Dundee Capital Markets received a total of $14,001.75 in cash and non-transferable compensation options to purchase 93,345 common shares at an exercise price of 15 cents per share during a period of 24 months from the closing date of the private placement.

The company confirmed the closing of the private placement pursuant to the news releases dated July 20, 2015, Aug. 13, 2015, and Aug. 28, 2015.
