Mr. Richard Warke, a shareholder, reports

On May 26, 2016, pursuant to a plan of arrangement between Catalyst Copper Corp. and Newcastle Gold Ltd., Richard Warke indirectly acquired 14,884,901 common shares of the issuer at a price ranging from 10 cents to 40 cents per share, representing 18.10 per cent of the issued and outstanding shares of the issuer.

As a result of the acquisition of the shares described above, Mr. Warke owns, in aggregate, directly or indirectly, 27,415,733 shares of the issuer, representing 18.10 per cent of the current issued and outstanding shares of the issuer.

Mr. Warke acquired the shares pursuant to the plan of arrangement and in connection with a private transaction for investment purposes. Mr. Warke has no present intention to acquire further securities of the issuer, although the offeror may in the future acquire or dispose of securities of the issuer, through the market, privately or otherwise, as circumstances or market conditions warrant.
