MANSFIELD ANNOUNCES RESULTS OF ANNUAL GENERAL MEETING AND NEW DIRECTOR

Mansfield Minerals Inc. is releasing the results of its annual general meeting of shareholders, held on Dec. 19, 2012, in Vancouver, B.C. At the meeting, shareholders voted in favour of motions electing the company's directors: Paul Matysek, David Keough, David Raffa, John Leask, Gordon Leask, Megan Cameron-Jones and Alexander Molyneux. Shareholders also passed a special resolution to approve the change of the company's name to Goldrock Mines Corp., which will take effect in the new year.

Immediately following the meeting, the board appointed the following officers: Paul Matysek as president and chief executive officer; David Keough as chief operating officer; Jorge Kesting as vice-president, exploration; and Megan Cameron-Jones as corporate secretary. Paul Matysek, president and chief executive officer, commented: "We welcome the addition of Alexander Molyneux to the board. Alex brings considerable knowledge, experience and success in executing mining-related debt and equity financings. I look forward to working with him on the development and financing of the Lindero gold project."

Mr. Molyneux is a mining executive and financier based in China. He currently serves as executive chairman of Celsius Coal Ltd., chairman of Azarga Resources Ltd. (private) and has served as a non-executive director of Ivanhoe Energy Inc. since mid-2010. From 2009 to mid-2012, Mr. Molyneux was president, chief executive officer and a director of SouthGobi Resources Ltd. Under his leadership, this company raised in excess of $900-million (U.S.) from Asian sovereign wealth funds and a public listing in Hong Kong. It subsequently became the largest foreign operator in the Mongolian coal sector. Prior to joining SouthGobi, Mr. Molyneux was the managing director, head of metals and mining investment banking, Asia Pacific, with Citigroup, based in Hong Kong. In his position as a specialist resources investment banker, he spent approximately 10 years providing advice and investment banking services to mining and industrial corporations. Mr. Molyneux has advised on public offerings, mergers and acquisitions, and bond and debt offerings totalling several billion dollars. Mr. Molyneux holds a bachelor's degree in economics from Monash University in Australia and attended Nanjing Normal University in China for Chinese language study. He is a member of the Canadian Institute of Corporate Directors.

The company also announces that incentive stock options have been granted to directors to purchase up to 325,000 common shares at a price of 70 cents per share for a three-year period, pursuant to its stock option plan.
