Warrant exercise price:  60 cents for a two-year period

Number of placees:  44 placees

Pro groups:  Anthony Fierro, 50,000; MRC Holdings (Marion Nelson), 50,000; Shelley Hoodspith, 50,000; Tracy Seiter, 100,000

Finders' fees:  320,500 finder units (comprising one share and one warrant exercisable at 60 cents for two years) and 320,500 finder options exercisable into shares at 45 cents for two years, payable to Axemen Resource Capital Ltd.; 31,250 finder units (same terms as above) and 31,250 finder options (same terms as above), payable to PI Financial (U.S.) Corp.; 117,500 finder units (same terms as above) and 117,500 finder options (same terms as above), payable to Bedrock Capital Corp.
