MBAC COMPLETES C$20.7 MILLION FINANCING INCLUDING OVER-ALLOTMENT OPTION

MBAC Fertilizer Corp. has completed its previously announced equity financing, which included the full exercise of the overallotment option granted for the underwriters, for aggregate gross proceeds of approximately $20.7-million. A total of 29,578,000 units of the company, including those issued pursuant to the exercise of the overallotment option, were issued and sold at a price of 70 cents per unit. Each unit comprised one common share of the company and one common share purchase warrant. Each warrant will entitle the holder to purchase one common share of the company at an exercise price of $1 per share at any time prior to April 17, 2019. The offering was completed through a syndicate of underwriters led by Canaccord Genuity Corp., and including BMO Nesbitt Burns Inc., National Bank Financial Inc., GMP Securities LP, Paradigm Capital Inc. and Raymond James Ltd. The net proceeds of the offering are intended to be used by the company for working capital and general and administrative purposes, as more particularly described in the company's short form prospectus dated April 10, 2014.
