The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced July 16, 2015.

Number of shares:  4,386,500 shares

Purchase price:  30 cents per share

Warrants:  4,386,500 share purchase warrants to purchase 4,386,500 shares

Warrant initial exercise price:  55 cents

Warrant term to expiry:  Two years

Number of placees:  14 placees

Insider:  James McDonald, 475,000

Finder's fee:  Canaccord, $2,880 cash; PI Financial Corp., 96,000 shares and 96,000 warrants; Richardson GMP Ltd., $7,830 cash

Finder's warrant initial exercise price:  55 cents

Finder's warrant term to expiry:  Same terms as the units except non-transferable

The company issued news releases on Aug. 11, 2015, and Aug. 26, 2015, confirming closing of the private placement.

Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
