JAYDEN RESOURCES ANNOUNCES CLOSING OF PRIVATE PLACEMENT

Further to its news release of Sept. 6, 2016, Jayden Resources Inc. has closed its non-brokered private placement, raising gross proceeds of $1.2-million by the issuance of 15 million units at a price of eight cents per unit.

Each unit comprises one common share and one common share purchase warrant. Each warrant entitles the holder thereof to purchase one common share at a price of 12 cents per common share for a period of 36 months from the date of issuance.

The company paid a cash commission to an eligible person the amount of $96,000, being 8 per cent of the gross proceeds of the offering and issued 1.2 million non-transferable broker warrants to the finder, being 8 per cent of the units issued pursuant to the offering. Each broker warrant will entitle the holder to acquire one common share for a period of 24 months following the closing date at a price of 12 cents per common share.

The securities issued pursuant to the offering are subject to a statutory hold period ending on Jan. 31, 2017, in accordance with the policies of TSX Venture Exchange and applicable securities legislation. The net proceeds of the offering will be used for general working capital purposes.

On closing of the offering, Eric Sprott became an insider of the company by holding approximately 15 per cent of the issued and outstanding common shares on an undiluted basis.
