Jaguar Mining to trade on TSX Aug. 3

Jaguar Mining Inc.'s shares and debentures will be listed and posted for trading on the Toronto Stock Exchange at the open on Aug. 3, 2016, according to the TSX. The TSX reports there will be 111,136,038 shares issued and outstanding, trading under the symbol JAG and Cusip No. 47009M 40 0, and 217,627,771 shares reserved for issuance. There will be $21.5-million (U.S.) principal amount of 12-per-cent convertible senior secured debentures issued and outstanding, trading under the symbol JAG.DB.U and Cusip No. 47009M AN 3.

According to the TSX, Jaguar Mining is engaged in the acquisition, exploration, development and operation of gold-producing properties in Brazil. Its shares have been listed on the TSX-V since May 1, 2014, under the symbol JAG. The company will be delisted from the TSX-V at the commencement of trading on the TSX. The transfer agent for the shares is Computershare Investor Services Inc. and the transfer agent for the debentures is Computer Trust Company of Canada. Jaguar does not expect to pay dividends in the foreseeable future.

As stated in the TSX bulletin dated July 29, 2016, the debentures are issuable in the minimum principal amount of $1,000 (U.S.) per debenture. The maturity date is Oct. 27, 2018, and the interest, at 12 per cent per year, is payable quarterly in arrears on March 31, June 30, Sept. 30 and Dec. 31 in each year. The next interest payment of $30 (U.S.) per $1,000 (U.S.) principal amount of debentures will be paid on Sept. 30, 2016. The TSX reports that the debentureholders have the option to convert the debentures at 15 Canadian cents per share. This price represents a conversion rate of approximately 8,781 shares per $1,000 (U.S.) principal amount of debentures, based on a U.S.-Canadian-dollar exchange rate of 75.92 U.S. cents per $1 (Canadian).
