The TSX Venture Exchange has accepted for filing the documentation with respect to a brokered private placement announced on June 2, 2015.

Number of shares:  7,795,000 common shares

Purchase price:  40 cents per share

Number of placees:  20 placees

Insiders:  Benevest Inc. (Hubert Marleau), 45,000; Palos Merchand Fund LP, 1.25 million

Agents' fees:  Haywood Securities Inc., Cormark Securities Inc., Dundee Securities Ltd. and BMO Nesbitt Burns Inc. have collectively received $208,260 in cash and 545,650 non-transferable compensation options to purchase 545,650 common shares at an exercise price of 40 cents per share during a period of 24 months from the closing date of the private placement.

The company has confirmed the closing of the private placement pursuant to news releases dated June 19, 2015, and July 6, 2015.
