The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced on Aug. 9, 2016, and Aug. 22, 2016. The financing included subscription receipts of ICC at 40 cents per subscription receipt. Each subscription receipt was exchanged for common shares of the resulting issuer on a one-for-1.25 basis.

Number of shares:  26 million resulting issuer shares

Purchase price:  50 cents per resulting issuer share

Number of placees:  125 placees

There was no insider or pro group participation in the brokered financing.

In connection with the brokered private placement, GMP Securities LP, as lead agent, and Mackie Research Capital Corp. received a cash commission of $910,000 and broker warrants to purchase 1.82 million common shares exercisable at a price of 50 cents per common share for a period of 24 months from the date that the common shares are listed on the TSX Venture Exchange.

The company has confirmed the closing of the private placement via a news release dated Sept. 8, 2016.
