REPLACEMENT OF INDEPENDENT AUDITOR

The board of directors of PetroRio, the new brand of HRT Participacoes em Petroleo SA, in a meeting held yesterday, approved by unanimous vote, pursuant to the recommendation of the audit committee, the replacement of the independent auditor of the company, in compliance with the provisions of CVM Instruction No. 308/1999, as amended (ICVM 308).

Ernst & Young Terco (EY) will remain responsible for reviewing the quarterly information related to the first quarter of 2015 and will be timely replaced by Deloitte Touche Tohmatsu Auditores Independentes, enrolled at CNPJ No. 49.928.567/0002-00 (CVM Code No. 0385-9), at 231 Presidente Wilson Ave., 22nd floor, in the city and state of Rio de Janeiro. The company will inform the market as soon as the service agreement is executed, which is expected to start from June, 2015, for a period of two years, renewal being allowed.

The replacement of the company's independent auditor is required by Brazilian regulations, which provide that publicly held companies must change auditors every five years. Therefore, there is no dissatisfaction or restriction related to the services that have been provided by EY. The company informs that, in compliance with Article 28 of ICVM 308, it has obtained consent from EY for the said replacement.
