The Investment Reporter, in its April 10, 2015, issue, says hold Hartco Inc., recently $3.30. The Reporter said buy only once -- on Sept. 3, 2010, at $3.50. It then said sell on Sept. 27, 2013, at $2.55. Assuming an investment of $1,000 at $3.50 for the single buy, selling the $1,000 position at $2.55 would have yielded a loss of $294. Hartco designs and sells information technology services. On Feb. 19, 2015, founder, executive chairman and CEO Harry Hart offered to take Hartco private for $3.25 cash a share. Mr. Hart later raised his offer to $3.40 a share. He told the company that he had entered into a support and voting agreement with two institutional shareholders that hold 18.32 per cent of Hartco. In response, the company formed a special committee and hired Burkman Capital for a valuation. Burkman concluded that the fair market value of Hartco's shares ranges from $3.94 to $5.25 a share. In March, 2015, the company attempted to negotiate with Mr. Hart to increase the offer but was not successful. The special committee is therefore not prepared to recommend shareholders vote for or accept the $3.40-a-share offer. The newsletter agrees; you should hold out for at least $3.94 a share.
