KAM FARD ACQUIRES SHARES OF GROUNDSTAR RESOURCES LIMITED

Kam Fard acquired ownership on Oct. 10, 2012, of 6.8 million common shares of Groundstar Resources Ltd., constituting 7.67 per cent of the then issued and outstanding common shares of the corporation. As of Oct. 10, 2012, Mr. Fard beneficially owned and controlled 10,946,035 common shares of the corporation. On Oct. 22, 2012, the corporation completed a consolidation of the issued and outstanding common shares on a 1:15 ratio. Mr. Fard now beneficially owns and controls 728,736 common shares of the corporation, which currently represents 12.32 per cent of the issued and outstanding common shares of the corporation. The acquisition took place privately. The securities were issued in consideration of services rendered pursuant to a management contract with the corporation as described in the corporation's information circular dated Sept. 18, 2012, and which can be found on SEDAR.
