Number of shares:  4.3 million shares

Purchase price:  15 cents per share

Warrants:  2.15 million share purchase warrants to purchase 2.15 million shares

Warrant initial exercise price:  25 cents

Warrant term to expiry:  18 months

Number of placees:  16 placees

Insiders:  Michele Pillon, 19,167

Total pro group involvement:  100,000 (one placee)

Finder's fee:  Raymond James Ltd., $16,868.25 cash and 112,455 warrants

Finder's warrant initial exercise price:  25 cents

The company issued a news release on Dec. 5, 2016, confirming closing of the private placement. Note that in certain circumstances, the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
