Purchase price:  five cents per non-flow-through share

Warrants:  4.9 million share purchase warrants to purchase 4.9 million shares

Warrant initial exercise price:  eight cents

Warrant term to expiry:  five years

Number of placees:  12 placees

Insider:  James Boyce, 200,000
