EURODIA SUBSCRIBES FOR PRIVATE PLACEMENT OF COMMON SHARES OF ENPAR

Enpar Technologies Inc.'s pending international joint venture partner, Eurodia, has subscribed for an equity investment in Enpar for a total amount of $350,000. As disclosed on March 10, 2015, this investment represents the final instalment of the total investment of $500,000 investment committed by Eurodia. The placement will be for 3.5 million units at a price of 10 cents per unit. Each unit will comprise one common share in the capital stock of the corporation and a one-half share purchase warrant, which is exercisable for a period of two years from the date of closing. Two purchase warrants will entitle the holder to purchase one additional common share at an exercise price of 13.75 cents per share. The proceeds of this offering will be used for marketing and manufacturing initiatives, and for general working capital.

Enpar and Eurodia are scheduled to finalize the joint venture agreement by mid-June, 2015. The private placement is subject to regulatory approval by the TSX Venture Exchange.
