PRIVATE PLACEMENT CLOSED TOTAL PROCEEDS OF $230,000

Enpar Technologies Inc. has closed they previously announced private placement dated Aug. 18, 2014. The placement will be for 2.3 million units at a price of 10 cents per unit. Each unit will comprise one common share in the capital stock of the corporation and one-half share of a purchase warrant, which is exercisable for a period of two years from the date of closing. Two purchase warrants will entitle the holder to purchase one additional common share at an exercise price of 15 cents per share.

Commissions paid to agents amounted to $10,400 (8 per cent cash) and 52,000 agent share purchase warrants (8 per cent of granted warrants) exercisable to purchase one common share at the price of 15 cents per share for period of two years from closing were granted to arm's-length agents.

The proceeds of this offering will be used for marketing and manufacturing initiatives and for general working capital.

The private placement is subject to regulatory approval by the TSX Venture Exchange.
