The TSX Venture Exchange has accepted for filing an acquisition agreement dated June 10, 2015, between Ely Gold & Minerals Inc., DHI Minerals (U.S.) Inc. (DHI-US) (a wholly owned subsidiary of the company) and Solitario Exploration & Royalty Corp. As per the agreement, Solitario has returned 15,732,274 shares in the company for cancellation in return for the company providing its consent for Solitario to pledge its 80-per-cent interest in Mt. Hamilton LLC in connection with certain debt obligations.
