The TSX Venture Exchange has accepted for filing documentation with respect to the first tranche of a non-brokered private placement announced May 21, 2014, June 18, 2014, and June 30, 2014.

Number of shares:  3,875,715 non-flow-through shares

Purchase price:  Seven cents per share

Warrants:  1,937,858 share purchase warrants to purchase 1,937,858 shares

Warrant exercise price:  14 cents for a one-year period (If the volume weighted average trading price is at 25 cents or higher for 10 consecutive trading days at any time after four months and one day after closing, the company may, upon giving notice to the warrantholder, shorten the expiry date of the warrants to 30 days from the date of notice.)
