The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced March 5, 2015.

Convertible debenture:  $3-million principle amount redeemable, secured convertible debenture

Conversion price:  Convertible into common shares at $1 of principal amount outstanding per share until maturity

Maturity date:  March 4, 2018

Interest rate:  6.5 per cent per year

Number of placees:  One placee

Agent's fee:  A total of $195,000 in cash and 225,000 broker warrants payable to Kingsdale Capital Markets Inc. (Each broker warrant entitles the holder to acquire one common share at $1 for a two-year period.)
