The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Jan. 14, 2015.

Convertible debenture:  $490,000 (U.S.)

Conversion price:  Convertible into 9,765,700 common shares and 4,882,850 common share purchase warrants at six Canadian cents of principal outstanding

Maturity date:  Nov. 28, 2015

Warrants:  Each warrant will have a term of two years from the date of issuance of the notes and entitle the holder to purchase one common share. The warrants are exercisable at the price of 10 cents for a two-year period.

Interest rate:  12 per cent per year

Number of placees:  Three placees
