The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced Oct. 16, 2014.

Purchase price:  Six cents per share

Warrants:  10,833,400 share purchase warrants to purchase 10,833,400 shares

Warrant exercise price:  10 cents for the first 18 months and 12 cents for the second 18 months (If the closing trading price is at 18 cents or higher for 20 consecutive trading days at any time after four months and one day after closing, the company may, upon giving notice to the warrantholder, shorten the expiry date of the warrants to 30 days from the date of notice.)
