The TSX Venture Exchange has accepted for filing the company's proposal to issue 3,050,686 shares and 1,525,343 share purchase warrants to settle outstanding debt for $1,281,288.12.

Warrants:  1,525,343 share purchase warrants to purchase 1,525,343 shares

Warrant exercise price:  50 cents for a one-year period

The company shall issue a news release when the shares are issued and the debt extinguished.
