DIGITAL SHELF SPACE ANNOUNCES CLOSING OF $150,000 TRANCHE OF FINANCING

Further to its new release dated March 3, 2015, Digital Shelf Space Corp. has closed a second tranche of its non-brokered private placement and issued 3.05 million units at a price of five cents per unit for gross proceeds of $152,500. Each unit consists of one common share and one common share purchase warrant. Each whole purchase warrant entitles the holder to purchase one common share of the company at the price of 10 cents per common share on or before the date occurring 18 months following the closing of the offering.

The company paid finders' fees totalling $10,675 and issued 213,500 non-transferrable share purchase warrants as finders' fees. The non-transferrable share purchase warrants issued as finders' fees have the same exercise price and term as the offering warrants.

In accordance with applicable securities legislation, securities issued pursuant to the offering are subject to a hold period of four months plus one day from the date of completion of the offering.

The offering and payment of finders' fees are subject to final regulatory approval.

Moneys raised from this financing will be used toward working capital, general corporate purposes, and transaction and related expenses.
