CALYX TO COMPLETE PRIVATE PLACEMENT

Calyx Ventures Inc. intends to complete a non-brokered private placement of up to 9,285,713 units at a price of seven cents per unit for gross proceeds of up to $650,000. Each unit consists one common share of the company, and one-half of one common share purchase warrant. Each warrant is exercisable to acquire one additional common share of the company at a price of 15 cents per share for a period of 12 months, subject to accelerated expiry in the event the closing price of the company's common shares is 20 cents or higher for 10 consecutive trading days.

All securities issued in connection with the private placement will be subject to a four-month-and-one-day statutory hold period. Completion of the private placement remains subject to the approval of the TSX Venture Exchange.

The funds will be used to pursue strategic initiatives and for general working capital purposes.
