COASTAL.COM RECEIVES FINAL COURT APPROVAL FOR ACQUISITION BY ESSILOR INTERNATIONAL
The
B.C. Supreme Court has issued a final order approving the
statutory plan of arrangement under which Essilor International
(Compagnie Generale d'Optique) S.A. will indirectly
acquire all of the issued and outstanding common shares of Coastal.com
for a purchase price of $12.45 per share.
The transaction was approved by approximately 100 per cent of the votes cast by
Coastal.com's shareholders, including by approximately 100 per cent of the
votes cast by shareholders excluding the votes attached to shares owned
by certain executive officers as required under applicable securities
laws, at an annual general and special meeting held on April 16, 2014.
Subject to receipt of Competition Act approval and the satisfaction or
waiver of customary closing conditions, the transaction is expected to
close by the end of April, 2014.
