CARIBOU CLOSES FIRST TRANCHE OF NON FLOW THROUGH FINANCING

Caribou King Resources Ltd., further to its news releases dated Feb. 24, 2015, and March 2, 2015, has completed the first tranche of its non-brokered private placement of 3.35 million non-flow-through units at a price of 10 cents per NFT unit for an aggregate gross proceeds of $335,000.

Each NFT unit comprises one common share and one-half of one share purchase warrant of the company. Each whole warrant will entitle the holder to purchase one non-flow-through common share in the capital of the company at a price of 15 cents per warrant share until March 26, 2016.

All securities issued pursuant to the private placement are subject to a hold period expiring on July 28, 2015.

The company issued to the finders under the offering a total of 26,100 finders' warrants to purchase up to 26,100 non-flow-through common shares in the capital of the company at a price of 10 cents per finder's warrant share for a period of 12 months. In addition, the company paid cash commissions to the finders totalling $2,610.
