URBAN SELECT CLOSES PLAN OF ARRANGEMENT WITH 1151559 B.C. LTD.

Urban Select Capital Corp. has closed the plan of arrangement with 1151559 B.C. Ltd., in which the new company will be named Pinmo Blockchain Corp.

Pursuant to an arrangement agreement dated Feb. 5, 2018 (as approved by shareholders on March 15, 2018, and by the B.C. Supreme Court on March 19, 2018), Urban Select has invested $75,000 into Subco and received 1.5 million shares of Subco. It is the intention of Urban Select to distribute the Subco shares to the shareholders of Urban Select, on a pro rata basis, as a return of capital or dividend-in-kind, as soon as possible.

Subco is investigating opportunities in the cryptocurrency and blockchain sectors, and expects to be in a position to announce an agreement in principle next week.
