The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement of convertible debentures announced March 19, 2015.

Convertible debenture:  $220,000

Conversion price:  Convertible into 666,666 shares at a conversion price of 33 cents

Maturity date:  March 12, 2020

Interest rate:  8 per cent per year (The interest may be settled in shares subject to the prior approval of the exchange.)

Number of placees:  Three placees

Agent's fee:  $26,215 payable to Euro Pacific Canada Inc., with 104,860 options exercisable at 40 cents for three years
