Blue Sky arranges $1.04-million private placement

2017-11-16 11:54 ET - News Release

Mr. Nikolaos Cacos reports

BLUE SKY ANNOUNCES NON-BROKERED PRIVATE PLACEMENT

Blue Sky Uranium Corp. has arranged a non-brokered private placement financing of up to 5.5 million units at a price of 19 cents per unit for gross proceeds of $1,045,000.

Each unit will consist of one common share and one transferable common share purchase warrant. Each warrant will entitle the holder thereof to purchase one additional common share in the capital of the company at 30 cents per share for one year from the date of issue. If the volume weighted average price for the company's shares is 50 cents or greater for a period of five consecutive trading days, then the company may deliver a notice to the warrantholder that the warrants must be exercised within 20 days from the date of delivery of such notice, otherwise the warrants will expire at 4:30 p.m. PT on the 21st day after the date of delivery of the notice. The accelerated exercise shall not apply until the expiration of the four-month hold period required under exchange policies and rules, and securities laws that are applicable to the company.

This financing is subject to regulatory approval and all securities to be issued pursuant to the financing are subject to a four-month hold period under applicable Canadian securities laws. Directors, officers and employees of the company may participate in a portion of the financing. A commission may be paid on a portion of the financing. The proceeds of the financing will be used for exploration programs on the company's projects in Argentina and for general working capital.

About the Amarillo Grande project

This new uranium district was first identified, staked and underwent preliminary exploration by Blue Sky from 2007 to 2012 as part of the Grosso Group's strategy of adding alternative energy focus to its successful portfolio of metals exploration companies. The proximity of several major targets suggests that if resources are delineated a central processing facility would be envisioned. The area is flat-lying, semi-arid and accessible year-round, with nearby rail, power and port access.

Mineralization identified to date at Amarillo Grande has characteristics of sandstone-type and surficial-type uranium-vanadium deposits. The sandstone-type deposit is related to a braided fluvial system comprising a potentially district-size roll front system. Uranium minerals are present in the porous of poorly-consolidated sandstones and conglomerates. In surficial-type uranium deposits, carnotite mineralization coats loosely consolidated pebbles of sandstone and conglomerates. Carnotite is amenable to leaching, and preliminary metallurgical work at the project indicates that the mineralized material can be upgraded using a very simple wet screening method. The near-surface mineralization, ability to locally upgrade, amenability to leaching and central processing possibility suggest a potentially low-cost development scenario for a future deposit.

Qualified person

The results of the company's drilling program have been reviewed, verified (including sampling, analytical and test data) and compiled by the company's geological staff under the supervision of Dr. David Terry, PhD, PGeo. Dr. Terry is a director of the company and a qualified person as defined in National Instrument 43-101. The contents of this news release have been reviewed and approved by Dr. Terry.

About Blue Sky Uranium Corp.
