BORALEX ANNOUNCES ELECTION OF DIRECTORS

The nominees listed in Boralex Inc.'s management proxy circular dated March 9, 2015, were elected as its directors. The detailed results of the vote at its annual meeting of shareholders held on May 6, 2015, are set out in the attached table.

All of the nominees proposed by management were elected on a vote by show of hands. The proxies received by management for the election of directors were as shown in the attached table.
