The TSX Venture Exchange has accepted for filing the documentation with respect to a brokered private placement announced on Feb. 8 and Feb. 9, 2017.

Shares:  40 million common shares and 13,334,000 flow-through common shares

Price:  10 cents per common share and 15 cents per flow-through common share

Placees:  12

Pro groups:  4.25 million (three placees)

Underwriter's fee:  Eight Capital received $354,006 in cash and 3,200,040 non-transferable compensation warrants. Each compensation warrant will be exercisable into one common share at a price of 11.5 cents per share during a period of 24 months from issuance.
