EARLY WARNING REPORT

Maxam Capital Management Ltd. has filed an early warning report dated Sept. 30, 2014, advising of its holdings in Benev Capital Inc. Maxam Capital Management provides management and investment advisory services to Maxam Opportunities Fund II LP.

On Sept. 26, 2014, Maxam Fund acquired 5,240,964 common shares in the capital of the issuer, and Maxam Capital Corp., a joint actor of Maxam Capital Management, acquired one million shares from Sean Morrison, the chief executive officer of the issuer, which shares were acquired by Mr. Morrison as a result of the exercise of incentive stock options.

The one million shares were acquired at $2.35 per share for an aggregate consideration of $2.35-million. The 5,240,964 shares were issued to Maxam Fund from the treasury of the issuer under a private placement at $1.66 per share for a total consideration of $8.7-million.

Maxam Capital Management, through Maxam Fund, in conjunction with Maxam, now has control and direction over a total of 6,240,964 shares representing approximately 11.52 per cent of the issued and outstanding shares. Mr. Morrison, the president and chief executive officer of the issuer, has control and direction over Maxam Capital Management and has control and direction over Maxam. Mr. Morrison does not hold any shares in the issuer directly.
