The Financial Post reports in its Wednesday edition a few days after announcing a "definitive agreement" to sell its control block in Benev Capital, Difference Capital has sold its entire holding of 11.02 million shares. The Post's Barry Critchley, writing in Off the Record, says he understands the block was sold over-the-counter to a broad group of buyers. The sale was done under an exemption known as Section 2.8 of NI 45.102, which governs the resale of securities. "Lots of lawyers were involved and the transaction was very complicated," one market participant said, noting the stock was halted at $1.93. The market chat was that the buyers paid $2 a share for a company that a few weeks ago announced a transformational transaction, the acquisition of a private company that is active in the restaurant royalty business. The scope and size of that $103-million transaction are what are behind the halt in trading at Benev, a cash-rich shell whose shareholders will gather at the end of next month to vote on the transaction. Benev is listed on the NEX board of the TSX Venture Exchange. In opting to sell via an exemption under NI 45.102, Difference used one of the three known ways that a control block can be sold.
