Warrant exercise price:  40 cents for a two-year period; the warrants are subject to an accelerated exercise provision in the event the company's shares are equal to or greater than 75 cents per share for five consecutive trading days

Placees:  10

Pro groups:  Penson Financial Services Canada Inc. ITF Bryan Paul 20,000; Penson Financial Services Canada ITF Michela Syrie-Paul 20,000

Finders' fees:  Foundation Markets Inc. will receive a finder's fee of $63,000 and 262,500 compensation options that are exercisable into common shares at 24 cents per share until Sept. 14, 2014.
