Mr. Joe Ontman reports

In connection with the completion of AcuityAds Holdings Inc.'s qualifying transaction with AcuityAds Inc. and in accordance with Policy 2.2 of the TSX Venture Exchange corporate finance manual, AcuityAds Holdings director Joe Ontman has acquired beneficial ownership and control over an aggregate of 3,846,154 common shares of the corporation. As a result of the qualifying transaction, the offeror was issued one common share of the corporation in exchange for each common share that it held in the capital of AcuityAds prior to the qualifying transaction. Prior to the completion of the qualifying transaction, the offeror did not hold any securities of the corporation.

After giving effect to the qualifying transaction, the offeror beneficially owns and controls 3,846,154 common shares of the corporation, representing approximately 18.54 per cent of the outstanding common shares of the corporation (based on 20,745,275 common shares of the corporation stated to be outstanding as of July 16, 2014, in the corporation's news release issued on July 16, 2014), and 17.94 per cent of the outstanding common shares of the corporation on a fully diluted basis (based on 691,109 stock options to purchase common shares of the corporation stated to be outstanding as of July 16, 2014, in the corporation's news release issued on the same date and 6,289 common share purchase warrants of the corporation stated to be outstanding as of July 9, 2014, in the corporation's filing statement dated as of the same date).

The acquired shares were acquired for investment purposes. The offeror may, from time to time, acquire additional securities of the corporation, dispose of some or all of the securities of the corporation, or maintain its current securities position in the corporation.
