The TSX Venture Exchange has accepted for filing an asset purchase agreement dated May 27, 2015, between Dealer Rewards of Canada 2014 Inc., Timothy Doyle, Evolve Automotive Group Inc. and Ackroo Inc., whereby Ackroo has acquired certain assets of Dealer Rewards of Canada 2014 and Evolve Automotive Group. Consideration is a total of $1.5-million payable in tranches on or before Dec. 31, 2016, and 769,231 common shares, of which 703,297 is payable three business days following the closing date and 65,934 is payable on or before 12 months following the closing date. The issuance of shares is as follows:

• Dealer Rewards of Canada 2014 (Mr. Doyle) -- 417,583 common shares;
• Evolve Automotive Group (Marc Lapointe) -- 131,868 common shares;
• Chris Fahey (principal of Dealer Rewards Inc.) -- 219,780 common shares.
