Purchase price:  five cents per share

Warrants:  4,012,500 share purchase warrants to purchase 4,012,500 shares

Warrant exercise price:  10 cents for a one-year period; the warrants are subject to an accelerated exercise provision in the event the company's shares trade at 15 cents or higher for 10 consecutive trading days

Placees:  11

Insiders:  Jay Malowney one million; Chapman CFO Resources Inc. (John Chapman) 20,000; Eamonn Garry 100,000; Gregory Feller 300,000; Steve Levely 75,000

Finder's fee:  Robert Smith will receive a finder's fee of 450,000 warrants that are exercisable into common shares at 10 cents per share for a one-year period. The warrants are also subject to an accelerated exercise provision.
