Mr. Robert Pirooz, shareholder, reports

EARLY WARNING REPORT PURSUANT TO NATIONAL INSTRUMENT 62-103 AND MULTILATERAL INSTRUMENT 62-104 RELATING TO THE PURCHASE OF 5,000,000 UNITS IN ARMOR MINERALS INC.

Robert Pirooz, on Oct. 7, 2015, acquired 2.5 million units of Armor Minerals Inc. at a price of 10 cents per unit through a private placement of Armor. Each unit comprises one common share and one common share purchase warrant exercisable for one share at a price of 15 cents expiring on Oct. 7, 2020. As a result of this transaction, Mr. Pirooz, directly and indirectly, increased his share ownership to 16,809,053 shares of Armor, representing 46.25 per cent of the issued and outstanding shares of Armor, and 16,809,053 warrants, representing 48.56 per cent of the issued and outstanding warrants of Armor.

As a result of the acquisition described above, Mr. Pirooz owns, directly and indirectly, 16,809,053 common shares of Armor, representing 46.25 per cent of the current issued and outstanding shares of Armor, and would directly and indirectly own 19,309,053 common shares, representing 46.7 per cent on a partially diluted basis, assuming the exercise of 2.5 million warrants.

Mr. Pirooz acquired the securities for investment purposes and has no present intention to acquire further securities of Armor, although he may, in the future, acquire or dispose of securities of Armor through the market, privately or otherwise, as circumstances or market conditions warrant.
